TERMS AND CONDITIONS

This software and associated documentation files (the "Software") are the 
proprietary and confidential property of JYLabtech. The Software is protected 
by copyright laws and international copyright treaties, as well as other 
intellectual property laws and treaties.

1. RESTRICTIONS

You are NOT permitted to:

   a) Copy, reproduce, or duplicate the Software, in whole or in part, in any 
      form or by any means, electronic or mechanical, including photocopying, 
      recording, or by any information storage and retrieval system, without 
      prior written permission from JYLabtech.

   b) Modify, adapt, alter, translate, or create derivative works based upon 
      the Software, in whole or in part, without prior written permission from 
      JYLabtech.

   c) Reverse engineer, decompile, disassemble, or otherwise attempt to derive 
      the source code of the Software, or any part thereof.

   d) Remove, alter, or obscure any proprietary notices, labels, or marks on 
      the Software or any copies thereof.

   e) Sell, rent, lease, sublicense, distribute, or otherwise transfer the 
      Software, or any portion thereof, to any third party without prior 
      written permission from JYLabtech.

   f) Use the Software in any manner that could damage, disable, overburden, 
      or impair any JYLabtech server, or the network(s) connected to any 
      JYLabtech server.

   g) Use the Software for any purpose that is unlawful or prohibited by this 
      Agreement, or to solicit the performance of any illegal activity or other 
      activity which infringes the rights of JYLabtech or others.

2. OWNERSHIP

The Software is licensed, not sold. JYLabtech retains all rights, title, and 
interest in and to the Software, including all intellectual property rights 
therein. The Software is protected by copyright laws and international 
copyright treaties, as well as other intellectual property laws and treaties.

3. LIMITED LICENSE

Subject to your compliance with the terms and conditions of this Agreement, 
JYLabtech grants you a limited, non-exclusive, non-transferable, revocable 
license to use the Software solely for your internal business purposes, in 
accordance with the terms of this Agreement.

4. TERMINATION

This license is effective until terminated. Your rights under this license will 
terminate automatically without notice from JYLabtech if you fail to comply 
with any term(s) of this Agreement. Upon termination of the license, you shall 
cease all use of the Software and destroy all copies, full or partial, of the 
Software.

5. NO WARRANTY

THE SOFTWARE IS PROVIDED "AS IS", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR 
IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, 
FITNESS FOR A PARTICULAR PURPOSE AND NONINFRINGEMENT. IN NO EVENT SHALL 
JYLABTECH BE LIABLE FOR ANY CLAIM, DAMAGES OR OTHER LIABILITY, WHETHER IN AN 
ACTION OF CONTRACT, TORT OR OTHERWISE, ARISING FROM, OUT OF OR IN CONNECTION 
WITH THE SOFTWARE OR THE USE OR OTHER DEALINGS IN THE SOFTWARE.

6. CONFIDENTIALITY

The Software contains proprietary and confidential information. You agree to 
maintain the confidentiality of the Software and to use the same degree of 
care to protect the Software as you use to protect your own confidential 
information, but in no event less than reasonable care.

7. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless JYLabtech and its officers, 
directors, employees, agents, and affiliates from and against any and all 
claims, damages, losses, liabilities, costs, and expenses (including reasonable 
attorneys' fees) arising out of or relating to your use of the Software, your 
violation of this Agreement, or your violation of any rights of another.

8. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws 
of Brazil, without regard to its conflict of law provisions. Any disputes 
arising under or in connection with this Agreement shall be subject to the 
exclusive jurisdiction of the courts of Brazil.

9. ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between you and JYLabtech 
concerning the Software and supersedes all prior agreements, understandings, 
negotiations, and discussions, whether oral or written, relating to the 
subject matter hereof.
