WiseTrack SDK License Agreement

1. Definitions
   - "SDK" means the WiseTrack software development kit, including any code, APIs, documentation, and related materials provided by WiseTrack.
   - "Services" means the analytics and tracking services provided by WiseTrack through the SDK.
   - "You" or "Licensee" means the individual or entity accessing or using the SDK.
   - "Application" means your proprietary mobile or web application into which the SDK is integrated.

2. Grant of License
   Subject to the terms of this Agreement and payment of all applicable fees, WiseTrack grants You a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to:
   - Integrate the SDK into Your Application solely for the purpose of using the Services for Your internal business needs.
   - Access and use the Services through the SDK in accordance with the documentation provided by WiseTrack.

3. Restrictions
   You shall not, and shall not permit any third party to:
   - Copy, modify, adapt, translate, or create derivative works of the SDK or Services.
   - Reverse engineer, decompile, disassemble, or attempt to discover the source code of the SDK or Services, except to the extent permitted by applicable law.
   - Distribute, sell, lease, rent, sublicense, or transfer the SDK or Services to any third party.
   - Remove, alter, or obscure any proprietary notices, trademarks, or copyright markings on the SDK or Services.
   - Use the SDK or Services for any purpose other than as expressly permitted in this Agreement.
   - Use the SDK or Services to develop a competitive product or service.
   If any restriction is not enforceable under applicable law, You must notify WiseTrack in writing prior to engaging in such activity.

4. Ownership
   The SDK, Services, and all associated intellectual property rights are and shall remain the exclusive property of WiseTrack. You retain all rights to Your Application, except for the limited license granted to WiseTrack to process data generated by Your Application for providing the Services. Any feedback provided by You regarding the SDK or Services may be used by WiseTrack without restriction.

5. Fees and Payment
   Use of the SDK and Services is subject to the pricing plan selected by You. 

6. Data and Privacy
   - You own all data generated by Your Application ("Data"). WiseTrack may process Data solely to provide the Services.
   - WiseTrack may use aggregated, anonymized data derived from Your Data for analytics and service improvement, provided it does not identify You or Your users.
   - You represent and warrant that You have all necessary rights and consents to collect, use, and transfer Data through the SDK in compliance with applicable data protection laws.

7. Confidentiality
   Any non-public information provided by WiseTrack, including the terms of this Agreement, is confidential ("Confidential Information"). You shall not disclose or use Confidential Information except as necessary to use the Services. This obligation survives termination of this Agreement for 5 years.

8. Warranties and Disclaimer
   - Each party warrants that it has the authority to enter this Agreement and that its performance does not conflict with other obligations.
   - You warrant that Your Application complies with applicable laws and does not infringe third-party rights.
   - The SDK and Services are provided "as is" without any warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.

9. Indemnification
   - WiseTrack shall indemnify You against claims that the SDK infringes third-party intellectual property rights, provided the claim does not arise from Your misuse or combination with other products.
   - You shall indemnify WiseTrack against claims arising from Your Application or breach of this Agreement.

10. Limitation of Liability
    Except for intentional misconduct or breach of confidentiality, WiseTrack’s total liability under this Agreement shall not exceed the fees paid by You in the 12 months preceding the claim. WiseTrack shall not be liable for any indirect, consequential, or punitive damages.

11. Term and Termination
    - This Agreement commences upon Your acceptance or integration of the SDK and continues until terminated.
    - Either party may terminate with 30 days’ written notice if the other party materially breaches this Agreement and fails to cure within 30 days.
    - WiseTrack may terminate immediately if You misuse the SDK or Services.
    - Upon termination, You must cease all use of the SDK and Services and destroy all copies of the SDK. Sections 3, 4, 6-10, and 12 shall survive termination.

12. Miscellaneous
    - This Agreement is governed by the laws of [Your Jurisdiction, e.g., State of New York]. Disputes shall be resolved in the courts of [Your City].
    - This Agreement is the entire agreement between the parties and may only be amended in writing signed by both parties.
    - You may not assign this Agreement without WiseTrack’s prior written consent.
